UST has sold its healthcare management subsidiary, UST HealthProof, to Bain Capital in a deal worth over $1 billion. The move allows UST to focus on high growth areas like enterprise AI, cloud transformation, and data modernisation. The deal will also see 4,000 HealthProof employees transition to Bain Capital as part of the agreement.

UST said it plans to use the funds from the sale to build AI enabled platforms and industry specific digital solutions across sectors such as healthcare, BFSI, and retail. The company highlighted that new capabilities in platform engineering and digital services are reshaping client expectations, and it aims to lead innovation in these areas.

Krishna Sudheendra, CEO of UST, said “Today’s announcement reflects both the strength of what we’ve built and the clarity of our future vision”. He added that the sale helps UST sharpen its focus on transformative technologies, while HealthProof, under Bain’s ownership, can explore new growth avenues.

HealthProof serves major U.S. insurers and will now combine with HealthEdge, another healthcare technology company already owned by Bain Capital. The merger will create a strong next-generation platform for healthcare payers, boosting Bain’s growing presence in the healthtech sector.

UST employs around 30,000 people across 30 countries, with more than 20,000 based in India, mostly in Trivandrum. This strategic divestment strengthens UST’s positioning in emerging tech domains while enabling Bain to expand its healthcare tech portfolio.

This deal underscores the increasing value of healthcare tech platforms and marks a major reshuffle in the digital health services landscape.
